Job description
A busy, well established commercial real estate investment company with retail, office, and industrial properties throughout the US, has a need for an experienced commercial real estate lawyer with extensive leasing experience to serve as Assistant General Counsel.
This position requires an individual with knowledge of the legal aspects of commercial real estate industry, specifically in retail, office, and industrial leasing. The ideal candidate must be able to demonstrate high levels of professional integrity, reliability, and attention to detail, as well as excellent judgment and discretion. The Assistant General Counsel will be a key member of the legal department and will interface regularly with ownership, their leasing, development, property management, construction, and accounting departments, and with tenants and other counterparties.
REPRESENTATIVE RESPONSIBILITIES AND DUTIES FOR THIS POSITION:
**Prepare, analyze, draft, review, negotiate, and revise various types of:Real estate leasing documents, including, without limitation, retail, office, and industrial leases, (and ancillary documentation, such as estoppel certificates, SNDAs, commencement agreements, lease amendments, and guarantees); andReal estate purchase and sale and other transactional documents, and handle purchases and sales from contract negotiation to close.
**Interact with senior business management in the negotiation of leases and purchase and sale transactions from LOI to closing.
**Review and resolve title and survey matters in purchase, sale, and lease transactions;
**Interpret lease language and provide guidance to property management, the leasing department, the construction department, the accounting department, and the principals of the company with respect to lease terms and property information;
**Negotiate reciprocal easement agreements, declarations, and similar documents related to purchases, sales, and leases;
**Draft, review, negotiate, and revise brokerage listing and commission agreements;
**Manage post-lease execution and closing matters to ensure proper internal processing of lease related terms (including, without limitation, delivery dates, delivery obligations, commencement dates, expiration dates, rental amounts, payment of tenant improvement allowances, landlord and tenant deliverables, etc.) and manage preparation of tenant correspondence.
EXPERIENCE:
The successful candidate will have:
At least 8 years of experience as commercial real estate lawyer handling leasing and transactional matters with a high level of expertise in that area;J.D. (or equivalent) from a well-regarded law school with related experience;Membership in the Florida Bar or eligibility to become a registered in-house counsel in Florida; and
The following experience is a plus:Real Estate Financing (they periodically provide seller financing on sale transactions);Real Estate Joint Ventures (they invest heavily as a limited partner or equivalent in multi-family real estate joint ventures).
