Descripción del empleo

About ABAAdvisory Board Architects (ABA) designs, builds and manages boards, both fiduciary and non-fiduciary, for private and family-owned companies. We do not run generic governance workshops. We recruit and evaluate directors, facilitate board sessions, and measure what a board actually produces. Our work has been applied in more than 3000 board meetings across 13 countries. We use proprietary systems, including our Board4Sight scoring model and our Director Archetypes framework, to assess the strategic fit of prospective directors before they join and to measure the contribution of a board and of each individual director once it is running. That measurement is what allows a company to treat its board as an asset with a return, not as a formality.ABA LATAM works with companies across Latin America.
The roleWe are expanding the ABA LATAM team and hiring a Board Operations Associate to work alongside the Managing Partner and the ABA partners in the region. Part-time, fully remote. This is a governance role, not an administrative one. You will support the full cycle of a board engagement: preparation, documentation, follow-through on resolutions, and the working relationship with clients across several countries. What you will doSupport the preparation of board sessions, including agenda, board materials, minutes and resolution tracking.Coordinate board session logistics with clients across Latin America.Draft and format proposals, engagement letters, director agreements and confidentiality agreements, in English and Spanish.Keep client documentation and the commercial pipeline organized and current.Support director search and evaluation: profile screening, reference checks, candidate reports.Support the application of our Board4Sight scoring and Director Archetypes methodology, including session analysis, preparation of evaluation materials and client-facing reports.Adapt materials between English and Spanish. Adaptation, not literal translation.Act as the operating bridge between the LATAM team and the US headquarters.RequirementsFull professional fluency in English and Spanish, written and spoken. You will draft client-facing documents in both languages and sit in calls in both.Working knowledge of corporate governance. You should understand the difference between an advisory board and a fiduciary board, what a board resolution binds and what it does not, and how minutes are properly documented. Background in corporate law, governance or corporate secretary work.Fluent, daily use of AI tools. You should already be using AI in your professional work for drafting, research and document analysis, under strict confidentiality standards. In the interview we will ask you to walk us through a real workflow you built.Prior experience supporting executive teams or boards.Discretion. This role sits close to sensitive company and board information, and to proprietary methodology. Confidentiality is non-negotiable.Autonomy. We work remote and asynchronous across time zones. We need someone who closes items without being chased.Location is flexible. You can be based anywhere, as long as you are able to work on Mexico City hours. Most client sessions and internal calls happen in that window, so a time zone that makes that impractical will not work.Nice to haveTime in a law firm, notary practice or compliance function.Experience in consulting or project-based professional services.TermsFully remote, part-time, independent contractor.Flexible schedule, with core availability aligned to Mexico City hours for scheduled board sessions and internal calls.Reports directly to the Managing Partner, ABA LATAM.To applySend your CV and answer two questions in your application:In Spanish, in three lines: what is the difference between an advisory board and a fiduciary board, and why does that difference matter to the company that hires one?In English, in five lines: describe one task you now do with AI that you used to do manually. Name the tool and what changed.
