The Role
We are seeking a Senior Attorney to join our legal team in Montevideo. Reporting to the General Counsel, you will provide sophisticated legal support across the firm's fund, corporate and real estate activities in multiple jurisdictions. This is a senior, hands-on role for a lawyer who can operate independently, manage complex cross-border matters, and serve as a trusted advisor to investment officers and senior management.
Key Responsibilities
Advise the General Counsel and senior management with accurate, timely counsel across a broad range of legal matters (contracts, partnerships, international ventures, corporate finance, real estate and litigation) and proactively identify legal risks and liabilities.
Lead the negotiation, drafting and review of a wide variety of agreements and legal documents to safeguard the company's interests, including LPAs, PPMs, shareholder agreements, side letters, board minutes and construction agreements.
Manage and oversee legal due diligence processes across investments and transactions.
Research and anticipate legal and regulatory developments that could affect the firm, and advise on their implications.
Ensure corporate documents, filings and contracts remain in good standing, up to date and well organized.
Monitor and strengthen compliance with internal policies and applicable regulations.
Represent the legal function in meetings with development partners, investors and internal investment officers.
Provide clear interpretation and guidance on legal documents to teams across the organization, and mentor junior legal staff.
QualificationsLaw degree and license to practice; an LL.M. or specialization in corporate, finance or real estate law is a plus.
Minimum of 6 years of relevant experience, ideally within a law firm, private equity, real estate or financial services environment.
Strong command of corporate, contract and finance law; familiarity with fund structures (LPAs, PPMs) and cross-border transactions is highly valued.
Fluent English and Spanish, written and spoken; Portuguese is a plus.
Excellent drafting, negotiation and analytical skills, with sharp attention to detail.
Ability to independently manage multiple matters and deliver under deadlines.
Sound judgment, discretion and a collaborative, business-minded approach.
