About the role

BCG Attorney Search seeks an associate to join a law firm’s Corporate M&A team in Miami, United States. The role focuses on M&A transactions and related corporate matters, with private equity transaction experience preferred.

Responsibilities

• Draft, review, and negotiate merger agreements, stock purchase agreements, and related documents.
• Manage and close M&A and related transactions.
• Conduct legal due diligence.
• Advise clients on general corporate and entity matters.
• Work on partnership agreements, joint ventures, and LLC operating agreements.
• Handle representation and warranty insurance underwriting issues.

Requirements

• Three to five years of Corporate M&A experience; private equity transaction experience is preferred.
• Strong academic credentials and excellent communication skills.
• Ability to work independently and as part of a team.
• Juris Doctor (JD) degree and admission to the state bar.
• Strong analytical and problem-solving skills, excellent negotiation and drafting abilities, and proficiency in managing complex transactions.
