Job Overview
A law firm seeks an Associate to join its Executive Compensation and Employee Benefits Group in New York City. The ideal candidate will bring 3-4 years of major firm experience in structuring complex employment and equity arrangements for a diverse client base.
DutiesStructure employment agreements, equity compensation plans, deferred compensation, and change in control arrangements.Negotiate severance and separation packages for senior executives and private equity clients.Support private and public company M&A transactions, IPOs, and other sale and liquidity events.
Requirements3-4 years of experience at a major law firm handling executive compensation matters.Admission to the New York or New Jersey bar is required.Experience representing private companies, start-ups, private equity firms, and senior executives.
EducationExcellent academic credentials from an accredited law school.
CertificationsActive bar admission in New York or New Jersey.
SkillsSpecific knowledge of Tax Code Sections 409A, 280G, and 83(b) is desirable.Strong understanding of corporate governance and transactional law.
