Principal legal adviser to the CEO, the Board of Directors and the executive leadership team. Lead legal strategy across corporate governance, strategic transactions, commercial operations, regulatory matters, litigation, labor relations and enterprise risk management.. Serve as Recording Secretary of the Board of Directors, preparing corporate resolutions and board minutes that support governance and execution of strategic decisions.. Lead legal affairs for the Group's nine entities in Panama, Nicaragua, Costa Rica, Belize and the British Virgin Islands, coordinating local counsel and business leadership to manage corporate, commercial, regulatory and cross-border risk.. Lead all civil litigation for the Group, including civil liability, breach of contract, real estate and collection matters, as well as criminal proceedings involving fraud, bounced checks and forgery. Experienced in constitutional jurisdiction (amparo de garantías).. Lead legal support for acquisitions, joint ventures and strategic transactions, managing due diligence, structuring, documentation, negotiation and closing.. Negotiate and manage distribution, supply, procurement and confidentiality agreements with counterparties in Canada, Puerto Rico, Guyana, China and the U.S. (Washington, Tennessee, Illinois, Florida and California), mitigating legal exposure in cross-border relationships.. Advise executive leadership on financing arrangements, credit facilities, guarantees, escrow structures and security documentation. Partner with the CFO on financial reporting and audit matters, coordinating legal input for external audits and the issuance of the Group's audited financial statements.. Oversee legal matters for the Group's real estate portfolio and strategic assets, supporting acquisitions, leasing, asset protection and capital investment decisions.. Manage the Group’s intellectual property, including registration, protection and enforcement of its brands and related litigation, safeguarding key commercial assets across jurisdictions.. Oversee corporate compliance programs, anti-corruption controls, data privacy, licensing and regulatory engagement across jurisdictions.. Lead labor strategy and collective bargaining across the Group's operations, supporting workforce stability and business continuity.. Manage the internal legal function and coordinate leading external law firms across jurisdictions.. Member of the Human Resources, Projects and Real Estate Committees, providing legal and risk input on strategic initiatives, capital projects and asset decisions.
