A nationally recognized corporate law firm is seeking a mid-to-senior-level Corporate Capital Markets Associate Attorney to advise public companies, emerging growth businesses, and investment banks on sophisticated securities transactions and ongoing corporate governance matters. The practice is particularly well known for representing innovative companies in the technology, life sciences, and other high-growth industries.
Attorneys in this group work closely with experienced partners on complex capital markets transactions, SEC reporting, corporate governance, and securities compliance matters. Associates receive meaningful responsibility, direct client interaction, and opportunities to develop long-term relationships with leading public and pre-public companies.

Duties
• Advise public companies regarding SEC reporting, disclosure obligations, corporate governance, and securities law compliance.• Counsel clients on stock exchange listing standards and ongoing public company requirements.• Represent issuers and investment banks in capital markets transactions.• Assist with initial public offerings (IPOs), follow-on offerings, SPAC transactions, direct listings, and other securities offerings.• Draft registration statements, periodic SEC filings, proxy statements, and other securities disclosure documents.• Support corporate governance initiatives and board advisory matters.• Conduct legal research involving federal securities laws and corporate regulations.• Collaborate with clients in the technology and life sciences industries on strategic corporate initiatives.• Coordinate due diligence for securities offerings and financing transactions.• Prepare transaction documents and manage complex closing processes.• Work closely with partners and clients to develop practical business-focused legal solutions.• Manage multiple sophisticated corporate matters while maintaining exceptional client service.

Requirements
• 4–6 years of corporate and capital markets experience.• Experience representing public companies, issuers, or investment banks.• Strong background in SEC compliance, disclosure obligations, and securities regulations.• Superior academic credentials.• Excellent legal writing, drafting, analytical, and communication skills.• Active admission in the applicable jurisdiction or eligibility for admission.• Strong organizational abilities and attention to detail.• Ability to manage multiple sophisticated transactions simultaneously.• Client-focused mindset with excellent business judgment.
