Job Overview

Duties
• Draft, review, and negotiate sophisticated intellectual property licensing agreements, including patent, trademark, and technology licenses.• Structure and negotiate life sciences collaboration agreements, joint development agreements, strategic alliance agreements, and research collaborations.• Prepare and negotiate technology licenses, software licensing agreements, software-as-a-service (SaaS) agreements, and related commercial contracts.• Conduct intellectual property and technology transaction due diligence in connection with mergers, acquisitions, financings, and other corporate transactions.• Advise clients regarding technology transfer agreements, commercialization strategies, and distribution arrangements.• Assist biotechnology, pharmaceutical, healthcare, and life sciences companies in protecting and commercializing valuable intellectual property assets.• Analyze complex intellectual property ownership, licensing, and commercialization issues.• Collaborate with corporate, intellectual property, and regulatory attorneys on multidisciplinary transactions.• Communicate directly with clients regarding transaction strategy, negotiation issues, and risk management.• Manage significant portions of sophisticated transactions with increasing independence.• Maintain multiple client matters while delivering exceptional legal services and meeting transaction deadlines.• Stay informed regarding developments affecting intellectual property licensing, life sciences, and technology transactions.

Requirements
• 3–4 years of experience in intellectual property licensing and technology transactions.• Experience representing life sciences, biotechnology, pharmaceutical, or healthcare industry clients.• Demonstrated ability to independently manage substantial portions of sophisticated transactions.• Strong drafting and negotiation experience involving intellectual property agreements.• Comparable experience at a respected law firm preferred.• Excellent academic credentials.• Outstanding analytical, organizational, and problem-solving abilities.• Excellent written and verbal communication skills.• Active bar admission in the applicable jurisdiction or eligibility to obtain admission promptly.• Commitment to delivering exceptional client service and working collaboratively within a team environment.
